Part 1: Introduction

Logistics Company and Customer agree to enter into this cooperation agreement, which will be binding and enforceable between the two parties.

Part 2: Cooperation Objectives

  1. Cooperative Purpose and Goals
    The purpose of this cooperation is to enhance mutual benefits and achieve a win-win strategic objective. Through this agreement, we will work together to optimize logistics management, improve supply chain efficiency, and enhance customer experience.

  2. Shared Benefits
    This cooperation aims to jointly make both parties benefit from the shared success of logistics management.

Part 3:双方的权利与义务

Logistics Company

  1. Legal Rights

    • possession of legal rights, including but not limited to:
      • Logistical management authority
      • Supply chain optimization authority
      • Customer service authority

  2. Negotiable Services

    • Can provide:
      • Logistical services
      • Supply chain transportation services
      • Customer support services

  3. Scope of Obligations

    Limited to the terms agreed upon in this cooperation agreement.

Customer

  1. Legal Rights

    • possession of legal rights, including but not limited to:
      • Logistical management authority
      • Supply chain optimization authority
      • Customer service authority

  2. Negotiable Services

    • Can provide:
      • Logistical services
      • Supply chain transportation services
      • Customer support services

  3. Scope of Obligations

    Limited to the terms agreed upon in this cooperation agreement.

Part 4:本次合作的违约责任

  1. Logistics Company
    a. For any failure to fulfill agreed terms or conditions, we are required to pay a fine, including a违约金。
    b. The违约金的计算方式为每日千分之一。

  2. Customer
    a. For any failure to fulfill agreed terms or conditions, the Customer is required to pay a fine, including a违约金。
    b. The违约金的计算方式为每日千分之一。

Part 5:争议解决

  1. 一般争议解决

    任何一方在发生争议时,可以友好协商解决。

  2. 特别争议解决

    争议发生后,如双方协商不成，可向有管辖权的诉讼或仲裁机构提起诉讼。

Part 6:违约赔偿

  1. Logistics Company

    对未履行本协议义务的行为,LiS公司需向Customer支付违约赔偿金。

  2. Customer

    对未履行本协议义务的行为,Customer需向LiS公司支付违约赔偿金。

Part 7:保密条款

  1. 保密义务

    • LiS公司承诺对本协议的内容及财务、经济利益保密。
    • Customer承诺对本协议的内容及财务、经济利益保密。

  2. 保密期限

    保密期限自双方签署本协议之日起计算,双方需在此保密期限内履行本协议义务。

Part 8:终止条款

  1. 终止条件

    本协议自双方协商一致,或者一方在本协议终止前未履行其义务，终止本协议。

  2. 终止生效

    本协议自双方协商一致,终止后，双方需另行协商，重新签订新的协议。

Part 9:违约金计算

  1. LiS公司

    未履行本协议义务的违约金计算方式为每日千分之一。

  2. Customer

    未履行本协议义务的违约金计算方式为每日千分之一。

Part 1:知识产权归属

  1. Logistics Company

    我们在本协议中拥有知识产权,包括但不限于技术、数据、设计等。

  2. Customer

    我们拥有知识产权,包括但不限于技术、数据、设计等。

Part 11:合同生效条件

  1. 生效条件

    本协议在双方协商一致,并履行完毕后，具有法律效力。

  2. 生效时间

    本协议自双方签署并生效时生效。

Part 12:总结

双方在本协议中达成一致,共同遵守协议的条款和条件，不得擅自延伸或改变，如有任何争议，双方应及时协商解决，以避免因协议不明确导致的法律问题。
